Welcome to shortlistd.io, a site operated by Shortlistd, Inc. (“shortlistd.io,” “us,” and “we”). shortlistd.io provides a platform designed to allow candidates (“Talent”) seeking employment and or contractor opportunities to be connected with Hiring Partners (“Companies”) interested in hiring or engaging Candidates.
These Terms and Conditions and the Website are governed by the laws of Delaware, United States. Any dispute arising from, or related to, these Terms and Conditions or the Business shall be subject to the exclusive jurisdiction of the Delaware Courts.

PLEASE READ THIS TERMS OF SERVICE (“AGREEMENT”) CAREFULLY. THIS WEBSITE AND THE INFORMATION ON IT ARE CONTROLLED BY SHORTLISTD.IO. THIS AGREEMENT GOVERNS YOUR USE OF THE WEBSITE, AND THE SERVICES, INFORMATION AND CONTENT AVAILABLE OR ENABLED VIA THE WEBSITE (THE “SERVICES”). BY CLICKING ON THE “I ACCEPT” BUTTON, COMPLETING THE REGISTRATION PROCESS, OR ACCESSING OR USING ANY OF THE SERVICES, YOU CONFIRM THAT
(1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT,
(2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH SHORTLISTD.IO, AND
(3) YOU HAVE THE AUTHORITY TO ENTER INTO THE AGREEMENT PERSONALLY OR ON BEHALF OF THE COMPANY YOU HAVE NAMED AS THE USER, AND TO BIND THAT COMPANY TO THE AGREEMENT.
THE TERM “YOU” OR “USER” REFERS TO THE INDIVIDUAL OR LEGAL ENTITY, AS APPLICABLE, IDENTIFIED AS THE USER WHEN YOU REGISTERED FOR THE SERVICES. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THIS WEBSITE OR THE SERVICES.
Your use of, and participation in, certain Services may be subject to additional terms (“Additional Terms”) and such Additional Terms will either be listed in this Agreement or will be presented to you for your acceptance when you sign up to use the Additional Service. If the Agreement is inconsistent with the Additional Terms, the Additional Terms shall control with respect to such Service. All Additional Terms are hereby incorporated into this Agreement by reference. This Agreement and any Additional Terms are referred to herein as the “Terms.”
PLEASE NOTE THAT THE REFERRAL PROGRAM TERMS ARE SUBJECT TO CHANGE BY SHORTLISTD.IO IN ITS SOLE DISCRETION AT ANY TIME. When changes are made, shortlistd.io will make a new copy of the Agreement available at the Website and shortlistd.io may require you to provide consent to the updated Agreement in a specified manner before further use of the Website and/ or the Services is permitted. If you do not agree to any change(s) after receiving a notice of such change(s), you agree to stop using the Website and the Services. Otherwise, your use and continued use of the Website or Services constitutes your acceptance of such change(s).
The terms and conditions of this agreement are governed by the Terms of use available at https://www.shortlistd.io/terms. By participating in shortlistd.io’s referral program and referring talent, both parties agree to be bound by the terms set forth in this referral program terms and conditions. Both parties agree to abide by the privacy policy available at https://www.shortlistd.io/privacy. The provisions of the Terms of use and the Privacy Policy are incorporated by reference herein and shall be deemed to have the same force and effect as if set forth in full herein:
1. Eligibility. Only individuals who have been pre-approved by shortlistd.io as qualified ambassadors, partners, and community leaders are eligible to participate in the referral program.
(a) The referrer must abide by the referral process and the talent referred must register their account with shortlistd.io and be accepted by the shortlistd.io team.
(b) There is no limit to the number of referrals you can send to shortlistd.io via our referral program.
(c) The referral fee will not be paid for referring existing users of shortlistd.io, an existing user is a registered user already registered on shortlistd.io
2. Referral Process. The referrer will refer talent using shortlistd.io's process:
a) shortlistd.io will provide the referrer a unique referral link such as this https://app.shortlistd.io/signup?referralCode=c*6uo*5
b) The referrer will invite talent to register on shortlistd.io using the referral link provided by shortlistd.io inviting the talent to register on www.appshortlistd.io/signup
c) The referee will register on shortlistd.io and create a profile on the platform and match with hiring partners
3. Screening and shortlisting. shortlistd.io will screen and shortlist the referred talents based on the job requirements provided by its hiring partners. shortlistd.io does not make any provisions of guarantees to select the referred talent for submission to its hiring partners.
4. Ownership. Once a talent has been introduced by the referrer to shortlistd.io and shortlistd.io, the ownership of that talent will belong to the referrer for a period of 12 months. If shortlistd.io or its Clients have prior knowledge of an Applicant before the referrer’s first introduction, shortlistd.io will notify the referrer.
5. Interview and Selection. selected candidates will be invited to interview with the hiring partners, and the hiring partners will make the final selection decision.
6. Success Fee. If the referred talent is successfully hired by our hiring partner and stays in the position for at least 3 months and/or complete their probation period, and shortlistd.io receives payment from the hiring partners then shortlistd.io will pay a success fee to the referrer.
7. Success Fee Payment. The success fee will be a percentage of shortlistd.io’s revenues and will be paid within 30 days of the completion of 3 months or the successful probation period whichever occurs first. The fee will be communicated on a case-by-case basis to the referrer.
8. Confidentiality. All information provided by the referrer and the referred candidate will be subject to shortlistd.io’s privacy policy at www.shortlistd.io/privacy
9. Disqualification. shortlistd.io reserves the right to disqualify any referrer who violates the terms and conditions of the referral program, engages in unethical or illegal behaviour, or does not adhere to the guidelines provided by shortlistd.io.
10. Changes to the Program. shortlistd.io reserves the right to modify or terminate the referral program at any time without notice.
11. Taxes and costs. The success fee is discretionary and will be adjusted to take into account any applicable taxes as well as transfer charges if applicable.
12. Relationship of the Parties. Each party is responsible for its own business operations and liabilities, including without limitation, any taxes, social security, or similar obligations related to its personnel. Neither party has the right to act as an agent or representative of the other party, nor to bind or commit the other party in any way without the prior written consent of the other party. The parties agree to conduct themselves in a professional manner and to respect each other's business practices and policies. Each party shall have the right to operate its business in the manner it deems appropriate and shall not interfere with the other party's business operations.
13. Non-solicitation. During the term of this agreement and for 24 months after its termination, the referrer shall not directly or indirectly solicit any of shortlistd.io's customers or hiring partners for the purpose of providing services that are similar to those provided by shortlistd.io. and the referrer shall not interfere with any of shortlistd.io's existing business relationships.
14. Disclaimer of Certain Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU UNDERSTAND AND AGREE THAT IN NO EVENT SHALL SHORTLISTD.IO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, OR FOR ANY DAMAGES RESULTING FROM LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, WHETHER OR NOT SHORTLISTD.IO HAS BEEN ADVISED OF THE POSSIBLITY OF SUCH DAMAGES, WHETHER BASED ON WARRANTY, COPYRIGHT, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
15. Questions, Complaints, Claims. If you have any questions, complaints or claims with respect to shortlistd.io, please contact us at: info@shortlistd.io. We will do our best to address your concerns.
16. Exclusive Venue. To the extent the parties are permitted under this Agreement to initiate litigation in a court, both you and Shortlistd.io agree that all claims and disputes arising out of or relating to the Agreement will be litigated exclusively in the American Arbitration Association.
17. Governing Law. THE TERMS AND ANY ACTION RELATED THERETO WILL BE GOVERNED AND INTERPRETED BY AND UNDER THE LAWS OF DELAWARE
18. Choice of Language. It is the express wish of the parties that the Terms and all related documents have been drawn up in English.
19. Termination. Either party may terminate this Agreement at any time forthwith by providing the other Party written notice of its intention to terminate. Any termination of this Agreement (howsoever occasioned) shall not affect any accrued rights or liabilities of either party that have arisen on or before the date of termination.
20. Notice. shortlistd.io may give notice by e-mail at the email address registered for registered users. You may give notice to shortlistd.io at the following address: info@shortlistd.io.
21. Waiver. Any waiver or failure to enforce any provision of the Terms on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.
22. Severability. If any portion of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner to reflect, as nearly as possible, the original intention of the parties, and the remaining portions shall remain in full force and effect.
